Emily Santana is an associate in our Corporate and Securities Department. She specializes in corporate financing, public and private equity and equity and debt offerings, mergers and acquisitions, private equity funds, venture capital transactions, and general corporate representation. She also assists various companies as outside general counsel operating in a broad range of industries including technology, entertainment and financial services. She handles a wide array of matters including: negotiating and drafting asset and stock purchase agreements, investor rights agreements, voting agreements, right of first refusal agreements, merger agreements, disclosure schedules, operating agreements, shareholder agreements, promissory notes, warrants, pledge agreements, stock option plans and ancillary transaction documents.
