David Alan Miller is the managing partner of Graubard Miller and head of its Corporate and Securities Department. He joined the firm in 1982 and became a partner in 1987.

Mr. Miller has a wide-ranging practice that includes representing domestic and international clients, including many broker-dealers, in a variety of corporate transactions such as public and private offerings of equity and debt securities, mergers and acquisitions, and restructurings. He has been practicing securities law for over 25 years, during which time he has represented clients in over 200 public offerings and many more private offerings of securities. Mr. Miller takes pride in the firm's ability to represent an emerging growth client in its formation, early stage financings, and IPO, and to continue to serve as its outside general counsel through all stages of client growth. Mr. Miller frequently is asked to serve as an expert witness in securities-related litigations and arbitrations.

Mr. Miller helped to create the financial product called a "SPAC," or "Specified Purpose Acquisition Company," in 1993.  As a result, Graubard Miller has handled more SPAC IPOs and SPAC business combinations than any other law firm.

Mr. Miller received his J.D. in 1980 from New York University and his B.A. in 1975 from the State University of New York at Stony Brook, where he was elected to Phi Beta Kappa. He received his M.S. in 1977 from W. Averell Harriman College of Urban and Policy Sciences, where he was a Graduate Council Fellow.

Mr. Miller is a member of the American Bar Association (Member: Business Law Section, Committee on Federal Regulation of Securities; Subcommittees on Market Regulation and 1933 Act-General) and the New York County Lawyers Association (Member, Committee on Securities and Exchanges).
