He specializes in general corporate representation, corporate financing, mergers and acquisitions, and the negotiation and drafting of technology and other agreements. He serves as outside general counsel for numerous public and private companies operating in a broad range of industries including communications, e-commerce, entertainment, technology, and retail and other traditional industries. As outside general counsel, he handles a wide array of matters for clients, including Exchange Act compliance, business plan development, employment agreements, stock option plans, licensing agreements, confidentiality and noncompete arrangements, and distribution contracts. Mr. Ross has been with Graubard Miller since graduating from Brooklyn Law School in 1991, where he was Editor in Chief of the Brooklyn Journal of International Law. He received his B.A. from Harpur College, Binghamton University in 1988. Prior to entering the practice of law, he was a studio musician and composer at various jingle houses and record companies in the New York area. |
